Terms & Conditions
What you agree to by using this site, and the general footing for any project we take on. Prices, dates and scope are fixed in your project document, never on this page.
RevisedCovers aarvyacorporation.com
This page does two jobs. It sets the rules for anyone using aarvyacorporation.com, and it describes the general footing on which Aarvya Corporation takes on software development work. It is not, by itself, a contract for a project. The commercial detail of any job lives in the quotation, proposal, statement of work or signed agreement we settle with you, and wherever that document says something different, it is the one that counts.
How do these terms apply to you?
Using the site means accepting this page
If you browse or use this website, you are agreeing to what is written here, so please stop using it if you cannot accept these terms. We revise the page now and then, and the wording that binds you is the wording published on the day of your visit.
When a project document takes over
Suppose a signed agreement, contract, statement of work, proposal or quotation covers the same point as this page. In that case, the project document wins wherever the two conflict. Scope, deliverables, fees, milestones, the payment schedule and timelines are set in that document and in no other place. Read together, that document and these terms make up everything agreed on its subject, and they replace any earlier conversations or correspondence about it.
What may you do on this website?
Feel free to read the pages, print them or pass them on, whether for your own reference or while you weigh up working with us. What we ask in return is that you avoid:
- trying to get unauthorised access to the site, the systems that host it, its source code or anything linked to it;
- scanning, probing, scraping or load-testing the site in a way that affects other visitors' access;
- planting malicious code, or anything else meant to disrupt or harm the site or the people using it;
- copying, republishing or selling a large part of the site, or passing off our material as yours;
- using the enquiry form to give false details, to pose as someone else, or to send unsolicited sales messages;
- any use of the site that breaks a law or regulation that applies to you or to us.
If protecting the site, its visitors or our business makes it necessary, we may limit or remove anyone’s access.
The words, layout, design, graphics, illustrations and code that make up this site are owned by Aarvya Corporation or used with permission, and copyright and related laws protect them. Reading, printing and sharing a page is fine. Lifting a sizeable portion of the site, or presenting it as your own work, is not.
Is anything on this site an offer?
No. Our descriptions of services, technologies and working methods are there to inform you. None of them is an offer you can accept, a quotation, a price, an estimate of cost or time, or a promise that we can take on a given job. You will not find a price or a delivery date anywhere on the site, because neither can be given responsibly before we have read your brief. Work starts only after the scope has been agreed in writing and both sides have accepted a quotation, proposal or contract.
Sending an enquiry, whether by the form or by email, commits neither of us to anything. We are free to turn down an enquiry, or to decline to quote, without explaining why. Any proposal or estimate we do prepare reflects what we knew when we wrote it, stays open for the period stated in it, and may be revised if the requirement proves different from the description. The way we treat personal information in an enquiry is covered by our Privacy Policy.
You cannot pay for anything through this website. It has no checkout, basket or payment gateway, and we will never ask for card details by email or through the form.
How is a project agreed and run?
What the scope covers
The proposal or statement of work for your project sets out what we will build, how it should behave, what is included and what is specifically left out. If the document does not mention something, it is not part of the agreed scope. A requirement that surfaces later is treated as a change, not quietly assumed to be part of the original job.
When the requirement changes
Plans shift during most projects, and that is expected. Any request that adds to the scope, removes something from it or changes it materially counts as a change. We set out in writing what it means for effort, cost and schedule, and it takes effect once you confirm it. Up to that point, we carry on with the scope already agreed.
Delivery and sign-off
Any delivery date in a proposal is our honest estimate, based on the scope known at the time and on the inputs from your side arriving when planned. It is not a guarantee, and this website publishes no timeline at all. We hand deliverables over for review in the way the applicable agreement describes, and that agreement also defines the review period, the acceptance criteria and how a reported defect is dealt with.
After delivery
Maintenance, support, hosting and monitoring are distinct from development, and we provide them only when the applicable agreement includes them. That agreement explains what is covered, how to raise a request and how requests are prioritised. Without such an arrangement, we are under no ongoing duty to watch over, update or maintain software we have delivered, though you are always welcome to ask for a quote for further work.
What do we need from you?
No development project succeeds on one side’s effort alone. If you engage us, you agree to:
- give us accurate requirements, and let us know quickly when they change;
- provide the content, brand assets, data and other material we need, and confirm you have the right to use all of it;
- grant the access the work depends on, such as repositories, hosting, developer accounts, domains and test devices, held in your own name where a platform insists on it;
- keep passwords and keys safe, and withdraw access nobody needs any longer once the job is finished;
- name a person who can answer our questions and make decisions for you;
- look over deliverables and send combined feedback and approvals, so the project is not left waiting on a decision;
- meet any duty that your regulator, platform or sector places on the software you release.
If the schedule slips because information, access or an approval has not reached us, the timeline and any effect on cost are adjusted under the applicable agreement.
How are fees and invoices handled?
We price each project or engagement individually. The relevant quotation, proposal or contract sets out the fee, what it includes, the milestones, when invoices are raised, the currency and the applicable taxes. Unless that document says otherwise, taxes and statutory levies are added on top of the quoted fee. Whoever makes a payment bears its bank charges and any currency conversion costs. If an invoice is still unpaid after the period that document allows, we may pause work and hold back further deliveries until it is settled.
Where do the intellectual property rights sit?
Work made for you
You receive rights in the deliverables created specifically for you, by assignment or by licence, on the terms in the applicable agreement. That usually happens once the fees for the work are paid in full, and until then the deliverables stay ours. We may mention the kind of work we did in general terms, but your name, materials and confidential details are never published without your written permission.
Our own tools and know-how
Everything we brought to the project stays ours: tools, frameworks, libraries, code patterns, templates, scripts and general expertise. The same applies to anything of that kind we create or refine while working for you. Where some of it ends up inside a deliverable, you get the licence needed to use, run and modify that deliverable for the purpose it was made for. No engagement stops us applying our general skills, experience and methods to other work.
Components supplied by others
Almost every piece of software relies on parts made by someone else: open-source and commercial libraries, SDKs, fonts, plugins, cloud services and APIs. Each comes with its supplier’s licence, and that licence binds you as the user of the finished product. Any recurring fee, subscription or per-seat charge for such a component is your cost unless the applicable agreement says otherwise, and the account is normally opened in your name.
How is confidential information treated?
Working together, each of us may see the other’s confidential material, such as business plans, data, source code, pricing or technical documents. Neither of us will reveal that material to anyone who does not need it for the work, or use it for anything beyond the engagement. This duty does not extend to information that is already public through no breach, that the recipient already knew, that was developed independently, or that a law or a competent authority requires to be disclosed. It outlasts the end of the engagement.
What about platforms and services we do not control?
Many projects rely on outside services, for example app stores, cloud platforms, payment gateways, maps, notification services and analytics tools. Their own terms govern them, and you accept those terms directly with the provider. We cannot answer for what such a provider decides, whether that is a review result, a suspended account, a change in policy or price, a feature being withdrawn, or an outage. If a platform changes its rules after we have delivered, updating the software to comply is new work.
What do we promise, and where are the limits?
Our commitment
We undertake to carry out our services with reasonable skill and care, using people competent to do the work, and to deliver work that matches the specification agreed in writing in every material respect. We cannot promise software that never stops or never errs, that every defect will prove fixable, that it will suit every device, browser, operating system or future release of one, or that it will produce a particular commercial outcome. Every other warranty, condition or term that statute or anything else might imply is excluded, as far as the law allows.
Limits on liability
Liability that the law does not allow to be excluded or limited, including liability for fraud or fraudulent misrepresentation, is left untouched by these terms. Beyond that:
- We accept no liability for indirect or consequential loss, or for lost profit, revenue, business, goodwill or expected savings, or for data that is lost or corrupted, whatever the cause.
- For any engagement, our combined liability is capped at the figure in the applicable agreement. If that agreement sets no cap, the limit is what you have actually paid us for the particular work the claim concerns.
- The website comes as it is, and you use it and rely on its contents at your own risk, as explained in our Disclaimer.
Claims arising from your side
You agree to compensate us for claims, losses, liabilities and reasonable costs that result from content, data, materials or instructions you give us, from using a deliverable in a way we did not agree, from breaching these terms, or from breaching a third-party licence or platform policy.
How can an engagement be paused or ended?
Either of us may end an engagement as the applicable agreement provides. We may pause work when an invoice is overdue, when the access or information we need is not forthcoming, or when carrying on would put us in breach of a law or a platform policy. When an engagement ends, the work done and costs properly incurred up to that day are still payable. Each side returns or deletes the other’s confidential material if asked, unless the law requires a copy to be kept, and any part of these terms meant to outlast the engagement keeps applying. For cancellations and refunds, see our Refund & Cancellation Policy.
Events outside anyone’s control
Neither of us is liable for delay or failure caused by events beyond reasonable control. Examples are natural disasters, fire, flood, epidemic, war, civil unrest, strikes, loss of power, telecoms or internet services, cyber attacks and government action. Whichever side is affected will tell the other as soon as it reasonably can, and will pick the work up again as soon as it is able.
Which law applies to a dispute?
Indian law governs these terms and any engagement between us. Disputes belong exclusively to the courts at Ahmedabad, Gujarat, although either side may seek urgent relief in another court to protect intellectual property or confidential information. Before going to court, we each agree to set out the problem in writing and make an honest attempt to settle it between ourselves.
Remaining legal points
- If one clause fails. A provision that turns out to be invalid or unenforceable is treated as deleted, and everything else remains in effect.
- Waiting is not waiving. Being slow to enforce a right does not mean giving it up.
- Transfers. Neither side may pass its rights or duties under an engagement to someone else without the other’s written agreement, and that agreement will not be refused without good reason.
- Our status. We act as an independent contractor. These terms do not make us your partner, joint venturer or employee.
- Formal notices. A written notice may be sent by email to aarvya.corporation@gmail.com, or to whatever address the applicable agreement records for you.
Advertising Management Services
AARVYA CORPORATION offers advertising-management work such as structuring campaigns, choosing targeting, adjusting campaigns, measuring results and reporting on them. When we manage advertising for a client, the client stays responsible for its business, for what is advertised, for the accuracy of its business information and for holding every authorization that is required.
Third-Party Advertising Platforms
Advertising platforms are run by independent companies whose decisions we do not control. AARVYA CORPORATION therefore does not guarantee that an ad or account will be approved, that an account will stay in good standing, that a campaign will deliver or perform, or how a platform will apply its policies.
Client Authorization
When a client gives AARVYA CORPORATION accounts, websites, applications, brands or advertising material to manage, the client must hold the right to do so and must give us accurate business information.
Advertising Billing
AARVYA CORPORATION pays the advertising charges for campaigns run under its own business identity.
Will these terms change?
We revise this page when a change in our services, in this website or in the law calls for it, and the date at the top tells you when the present version went up. Revising the page does not rewrite an engagement you have already agreed with us. That engagement stays under the document signed when it began.
A question about this policy?
Whether something above needs explaining or you want us to act on one of the requests it describes, email us and name the policy you are writing about. Letters can go to the postal address underneath.
